STRATACACHE Sells PRN To Perion Network

Perion Network (NASDAQ & TASE: PERI) has acquired PRN from STRATACACHE in an all-cash deal valued at up to USD 12 million at closing, according to DailyDOOH. The acquisition includes PRN's retail media network spanning warehouse club, big-box, and healthcare retail environments, and is expected to contribute approximately USD 3 million to Perion's Adjusted EBITDA in 2027 before synergies.
Perion Network (NASDAQ & TASE: PERI) has acquired PRN from STRATACACHE, according to a report from DailyDOOH published on August 26, 2026. The all-cash deal, valued at up to USD 12 million at closing, transfers ownership of the in-store retail media network that STRATACACHE had held since July 2015, when it purchased what was then called IZ-ON Media from Technicolor (Euronext Paris: TCH; OTCQX: TCLRY). PRN chief executive Kevin Carbone, who has been with PRN since 2012, will join Perion as part of the transaction.
The transaction calls for up to USD 12 million in cash paid at closing, subject to customary purchase price adjustments on a cash-free and debt-free basis. Perion says the all-cash structure eliminates post-closing contingencies and complexity, allowing it to focus resources immediately on integration and value creation.
Perion expects the acquisition to be accretive from closing and to contribute approximately USD 3 million to Adjusted EBITDA in 2027 before taking into account any synergies. The company does not anticipate a material impact on its full-year 2026 outlook. These forward-looking projections come from Perion and have not been independently verified.
Strategy
The acquisition gives Perion a unified execution layer spanning programmatic digital out-of-home, commerce, social, in-store retail media, connected TV, and direct demand relationships. Perion intends to use PRN's retail footprint to advance four priorities: multi-vertical and geographic expansion across warehouse club, pharmacy, consumer electronics, and grocery environments; exclusive in-store retail media inventory through multi-year agreements with national-scale tier-1 retailers; last-mile to point-of-purchase precision by combining Perion's programmatic DOOH footprint with PRN's in-store network; and opening access to net-new advertiser budgets within the $70B+ U.S. retail media market.
Perion chief executive Tal Jacobson told DailyDOOH that the acquisition "checks all the boxes – Strategic, Synergetic and Profitable from day one." He said PRN gives Perion "the ultimate channel before any decision to purchase" and that the company will leverage the breadth of its channel offering, including connected TV and digital out-of-home, so a brand can execute a single campaign from the living room to the shelf. For retailers, Jacobson said the deal means "curated monetization that protects the store environment." He added that it expands Perion's total addressable market across the retail media market and opens budgets that have not historically been programmatically addressable, and he welcomed the PRN team as they join Perion's journey to provide solutions for advertisers worldwide.
Perion positions in-store as the closing layer on full-funnel campaigns, reaching shoppers across the last mile from the commute to the shelf. By placing brands in front of shoppers as they compare products and make final purchase decisions, the company aims to attract larger advertiser budgets and accelerate growth across its Retail Media and DOOH channels, scaling its digital suite directly into exclusive point-of-purchase environments.
PRN's retail footprint
PRN's network includes a top warehouse club's 4K TV network across 750+ warehouse club locations in North America, a top big-box retailer across 4,500+ stores, and a leading national healthcare retailer across 2,200+ stores. The retailers were not named. The footprint gives Perion direct access to commerce, consumer packaged goods, and healthcare, advertising's highest-spending verticals, through exclusive, multi-year inventory agreements with national-scale tier-1 retailers across warehouse club, big-box, and healthcare retail.
Carbone said marketers want to plan in-store advertising the way they plan every other channel, and that Perion brings the demand and execution to make that possible while retailers keep the same control over what runs in their stores. He said joining Perion will allow PRN to deliver greater overall value to retailers and advertisers.
In May 2026, STRATACACHE and its subsidiary PRN in the United Kingdom appointed Mark Supperstone and Simon Jagger of S&W Partners to lead the winding-up of the firms. DailyDOOH wrote that there is "no doubt this is just a North American deal," suggesting the Perion acquisition covers PRN's North American operations while the UK entities go through a separate insolvency process.
This has not been independently verified through UK insolvency records or official filings.
